1.1. Binding Agreement These Website Terms of Use ("Terms") constitute a legally binding contractual agreement made between you, whether personally or on behalf of an entity ("you," "user," or "visitor"), and Epikerdis LLC ("epikerdis," "we," "us," or "our"), concerning your access to and use of our public-facing websites. By accessing, browsing, or otherwise interacting with these websites, you expressly acknowledge that you have read, understood, and agree to be bound by all of the provisions contained within these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the sites and must discontinue your access and use immediately.

1.2. Scope of Application (Strict Structural Bifurcation) To ensure absolute clarity for our enterprise buyers and procurement teams, these Terms apply solely to non-logged-in visitors interacting with our public-facing marketing and informational domains: epikerdis.ai, helmos.ai, and talentwix.ai (collectively, the "Marketing Sites").

These Terms categorically exclude the access, deployment, or use of our actual software products, including the Helm OS agentic operating system, TalentWix digital partners, and any related proprietary artificial intelligence environments (collectively, the "Product Environment"). The protected Product Environment begins strictly at our application, administration, and authentication perimeters. Therefore, any subdomains functioning under app., adm., or auth.* across any of our high-level domains are expressly exempt from these Terms. Logged-in product usage, proprietary enterprise data processing, and AI interactions are governed by entirely separate, secure commercial agreements—specifically, our Master Service Agreement (MSA) or Agentic MSA—which must be explicitly executed prior to Product Environment access.

1.3. Age and Eligibility The epikerdis LLC Marketing Sites, our digital partners, and our operating systems are engineered strictly for adult professionals, developers, and enterprise commercial entities. By accessing the Marketing Sites, you represent and warrant that you are at least eighteen (18) years of age or older and possess the legal capacity and authority to form a binding contract. We do not knowingly solicit, market to, or permit the use of the Marketing Sites by individuals under the age of 18. Furthermore, if you are accessing or using the Marketing Sites on behalf of a corporate entity, fund, or organization, you represent and warrant that you have the requisite authority to bind that entity to these Terms.

2.1. The Demarcation Line epikerdis LLC engineers complex, autonomous agentic operating systems for enterprise deployment. Due to the sensitive and highly technical nature of our core products, we maintain a strict structural bifurcation between our public marketing infrastructure and our proprietary software environments. You acknowledge and agree that these Terms apply exclusively to your browsing and interaction with the public, non-logged-in pages of the Marketing Sites. These Terms expressly exclude any access to, or interaction with, our authenticated product infrastructure. Any subdomain prefixed with app., adm., or auth.*, or any portal requiring account registration and login credentials (the "Product Environment"), is unequivocally outside the scope of these Website Terms of Use.

2.2. Integration Clause and Agentic Agreements Access to, procurement of, and utilization of epikerdis LLC’s autonomous digital partners, the Helm OS platform, and the TalentWix platform are governed exclusively by separate, fully executed commercial contracts. Depending on the nature of the engagement, these products are governed by a Master Service Agreement (MSA) or an Agentic Master Service Agreement (Agentic MSA) that specifically accounts for the autonomous execution of business outcomes. These Website Terms of Use do not grant you any rights, licenses, or access to the Product Environment. In the event of any perceived conflict or inconsistency between the content on the Marketing Sites (or these Terms) and a fully executed MSA or Agentic MSA, the express terms of the MSA or Agentic MSA shall strictly govern and supersede.

2.3. Informational Purpose and Warranty Disclaimer The content published on the Marketing Sites—including, but not limited to, descriptions of "Deep Cognitive Continuity," "Agentic Labor," architectural topologies, technical whitepapers, blog posts, and promotional narratives—is provided solely for general informational and commercial evaluation purposes. You expressly agree that no text, graphic, video, or technical description published on the Marketing Sites shall be construed as a binding product warranty, performance guarantee, or Service Level Agreement (SLA). The field of autonomous artificial intelligence is rapidly evolving; therefore, epikerdis LLC makes no binding representations or warranties that the final commercial capabilities of our digital partners will identically mirror the high-level marketing, conceptual frameworks, or forward-looking roadmaps depicted on these unauthenticated public domains.

3.1. epikerdis LLC IP and Proprietary Narratives The Marketing Sites, including all underlying source code, database structures, user interfaces, semantic schemas, visual design elements, text, graphics, trademarks, and logos, are the exclusive intellectual property of epikerdis LLC (or our licensed partners) and are protected by United States and international copyright, trademark, and trade secret laws.

Furthermore, epikerdis LLC asserts exclusive ownership over the proprietary narratives, conceptual frameworks, and architectural topologies published on the Marketing Sites. This includes, but is not limited to, our published definitions and technical documentation regarding "Deep Cognitive Continuity," "Agentic Labor," "Horizon Gap mitigation," and our "Hub-and-Spoke" cognitive orchestration models (collectively, the "Proprietary Narratives"). You acknowledge that these Proprietary Narratives represent significant, confidential investments in research and development. Accessing the Marketing Sites does not convey any ownership rights, title, or interest in our intellectual property or Proprietary Narratives to you or the entity you represent.

3.2. Limited License and Anti-Ingestion Prohibitions Subject to your strict compliance with these Terms, epikerdis LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to access and navigate the Marketing Sites solely for your personal, internal business, and informational evaluation of our products.

This license is expressly limited to human interaction and reading. You are strictly prohibited from:

1. Reproducing, distributing, publicly displaying, or reverse-engineering any portion of the Marketing Sites or Proprietary Narratives.
2. Utilizing any automated web scraper, spider, crawler, or unauthorized API to extract, harvest, or mine data, text, or semantic schemas from the Marketing Sites.
3. Ingesting, downloading, or parsing any content from the Marketing Sites for the purpose of developing, training, fine-tuning, or augmenting any artificial intelligence system, machine learning algorithm, or Large Language Model (LLM).

Any unauthorized use of the Marketing Sites, including the automated scraping of our Proprietary Narratives for AI training corpus inclusion, constitutes a material breach of this contract and immediately terminates the limited license granted herein. epikerdis LLC reserves the right to pursue all available legal and equitable remedies, including claims under the Computer Fraud and Abuse Act (CFAA), for unauthorized access and intellectual property infringement.

4.1. Prohibited AI Scraping and Data Mining You agree to access and use the Marketing Sites solely for their intended informational and commercial evaluation purposes. You are strictly prohibited from using any automated system, software, or process—including, but not limited to, web scrapers, spiders, robots, crawlers, or unauthorized APIs—to extract, harvest, or mine data, text, visual interfaces, or semantic schemas from the Marketing Sites.

Furthermore, you expressly agree not to ingest, download, parse, or utilize any content or Proprietary Narratives from the Marketing Sites for the purpose of developing, training, fine-tuning, evaluating, or augmenting any artificial intelligence system, machine learning algorithm, foundational model, or Large Language Model (LLM) without the prior, express written consent of epikerdis LLC.

4.2. CFAA Enforcement Standing and Revocation of Access Your access to the Marketing Sites is conditioned upon your strict adherence to these Terms. Any violation of the restrictions outlined in this Acceptable Use Policy, including the anti-scraping and anti-ingestion prohibitions in Section 4.1, immediately and automatically revokes your limited license and authorization to access or use the Marketing Sites.

epikerdis LLC considers any continued access, or any automated querying of our servers following such a violation, to constitute unauthorized access and digital trespass. We expressly reserve the right to pursue all available civil and criminal remedies against any individual, corporate entity, or bot operator that exceeds their authorized access, including, but not limited to, prosecuting claims under the federal Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030, and applicable state equivalents.

4.3. Prohibited Conduct and Infrastructure Interference In addition to the scraping prohibitions, you agree not to engage in any conduct that compromises the stability, security, or availability of our digital infrastructure. You are strictly prohibited from:

1. Interfering with, disrupting, or attempting to compromise the integrity of the Marketing Sites' infrastructure, including our Next.js edge servers and Google Cloud hosting environments.
2. Executing, participating in, or facilitating any Denial of Service (DoS) or Distributed Denial of Service (DDoS) attacks against our domains.
3. Uploading or transmitting any malware, viruses, trojans, worms, logic bombs, or other malicious or destructive code through our web forms or network connections.
4. Probing, scanning, or testing the vulnerability of our systems, networks, or CRM APIs without explicit, written authorization (e.g., authorized bug bounty participation).
5. Bypassing, disabling, or circumventing any security mechanisms, Web Application Firewalls (WAF), or network security tokens (such as Google Cloud Armor) deployed by epikerdis LLC to protect the Marketing Sites.

5.1. "As-Is" Provision and General Disclaimer THE MARKETING SITES, INCLUDING ALL TEXT, GRAPHICS, TECHNICAL DOCUMENTATION, AND PROPRIETARY NARRATIVES CONTAINED THEREIN, ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EPIKERDIS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Marketing Sites will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no representations regarding the accuracy, completeness, or reliability of any informational content published on the Marketing Sites. Your use of the Marketing Sites, and your reliance on any material published on them, is strictly at your own risk.

5.2. Forward-Looking Statements Safe Harbor As a pre-seed technology startup operating in the rapidly evolving field of artificial intelligence, the Marketing Sites contain discussions of future product roadmaps, anticipated AI agent capabilities (including "Deep Cognitive Continuity" and "Agentic Labor"), beta launch timelines, and investor-focused strategic goals. You acknowledge and agree that these statements constitute "Forward-Looking Statements."

These Forward-Looking Statements are based on epikerdis LLC’s current engineering expectations and are subject to substantial technical, regulatory, and commercial risks. Actual product capabilities, launch dates, or operational outcomes may differ materially from those projected on the Marketing Sites. You expressly agree that no Forward-Looking Statement published on the Marketing Sites shall be construed as a binding promise, warranty, or guarantee of future performance. epikerdis LLC assumes no obligation to publicly update or revise any Forward-Looking Statements, whether as a result of new technical developments, changing market conditions, or otherwise.

6.1. Liability Cap Because these Terms apply exclusively to your non-logged-in browsing of the public Marketing Sites, epikerdis LLC’s financial exposure is strictly limited. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF EPIKERDIS LLC, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AFFILIATES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE MARKETING SITES, EXCEED FIFTY UNITED STATES DOLLARS ($50.00 USD). This limitation applies regardless of the legal theory under which damages are sought (whether in contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

(Note: Liability limitations regarding the actual deployment, use, or execution of our autonomous digital partners within the Product Environment are governed entirely and exclusively by the applicable Master Service Agreement or Agentic MSA.)

6.2. Exclusion of Damages TO THE FULLEST EXTENT PERMITTED BY LAW, EPIKERDIS LLC SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS EXCLUSION INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES ARISING OUT OF: (A) YOUR USE OR INABILITY TO USE THE MARKETING SITES; (B) ANY UNAUTHORIZED ACCESS TO OUR SERVERS; OR (C) YOUR RELIANCE ON ANY FORWARD-LOOKING STATEMENTS, PROPRIETARY NARRATIVES, OR TECHNICAL ROADMAPS PUBLISHED ON THE MARKETING SITES.

6.3. User Indemnification You agree to defend, indemnify, and hold harmless epikerdis LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

1. Your material violation of these Website Terms of Use.
2. Your violation of the Acceptable Use Policy (Section 4), including but not limited to any unauthorized AI scraping, data ingestion, or interference with our network security architecture.
3. Your violation of any applicable laws, regulations, or third-party intellectual property rights while accessing the Marketing Sites.

epikerdis LLC reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to fully cooperate with us in asserting any available defenses.

7.1. Incorporation by Reference epikerdis LLC takes the security and sovereignty of your data seriously. Your access to and use of the Marketing Sites is also governed by our Website Privacy Policy, our Notice at Collection, and our Online Tracking Technologies Policy. By accessing or using the Marketing Sites, you acknowledge that you have read, understood, and agree to the data collection, utilization, and "Zero Pre-Consent" retention practices described in those documents. The Website Privacy Policy is hereby incorporated into these Terms by this reference. In the event of any direct conflict between these Terms and the Website Privacy Policy regarding the handling of personal data, the Website Privacy Policy shall strictly govern.

PLEASE READ THIS SECTION CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

8.1. Governing Jurisdiction and Venue These Terms, and any dispute or claim arising out of or related to your use of the Marketing Sites, shall be governed by and construed in accordance with the internal laws of the State of Georgia, United States, without giving effect to any choice or conflict of law provision or rule.

Subject to the Mandatory Arbitration provisions in Section 8.2, any legal suit, action, or proceeding arising out of, or related to, these Terms or the Marketing Sites shall be instituted exclusively in the federal or state courts located in or nearest to Alpharetta, Georgia (Fulton County). You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

8.2. Mandatory Binding Arbitration To expedite resolution and reduce the cost of any dispute, controversy, or claim arising out of or relating to your use of the Marketing Sites or these Terms (a "Dispute"), you and epikerdis LLC agree to first attempt to negotiate any Dispute informally for at least thirty (30) days.

If the Dispute cannot be resolved informally, YOU AND EPIKERDIS LLC AGREE THAT ALL DISPUTES SHALL BE RESOLVED EXCLUSIVELY AND FINALLY THROUGH BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures. The arbitration shall take place in Alpharetta, Georgia, or via secure virtual teleconference if mutually agreed upon. The arbitrator's award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Exceptions to Arbitration: Notwithstanding the foregoing, epikerdis LLC retains the right to seek immediate injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights (including, but not limited to, the unauthorized AI scraping and data ingestion prohibited in Section 4).

8.3. Class-Action Waiver YOU AND EPIKERDIS LLC AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND NEITHER YOU NOR EPIKERDIS LLC WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, OR IN ANY PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. If a court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason, or that an arbitration can proceed on a class basis, then the arbitration provision set forth above in Section 8.2 shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

9.1. Right to Update The technological landscape of artificial intelligence, as well as the accompanying regulatory and legal frameworks, is rapidly evolving. Consequently, epikerdis LLC reserves the right, in our sole and absolute discretion, to modify, amend, or replace these Website Terms of Use at any time. Such updates may be implemented to reflect changes in our business practices, the introduction of new informational features on the Marketing Sites, or to ensure ongoing compliance with applicable local, state, federal, or international laws.

9.2. Notification Process and Continued Acceptance Because these Terms apply exclusively to non-logged-in visitors, we do not maintain a user database to send direct email notifications regarding policy updates. Instead, if we make material changes to these Terms, we will provide constructive notice by updating the "Effective Date" at the top of this document and, where legally appropriate, by displaying a prominent notification banner across the Marketing Sites prior to the changes taking effect.

It is your responsibility to review these Terms periodically for updates. Your continued access to, browsing of, or interaction with the Marketing Sites following the posting of any revised Terms constitutes your explicit acknowledgment and binding acceptance of those modifications. If you do not agree to the updated Terms, your sole and exclusive remedy is to immediately cease accessing the Marketing Sites.
